Agreement on the Language Grid
Language Grid Operator, ____________________ (the "Operator"), and a Language Grid User, ____________________ (the "User"), have agreed on the following terms and conditions with respect to the use of the Language Grid described below.
Article 1. Purpose of Agreement.
The Operator hereby grants the User a license to access and use the Language Grid operated by the Operator.
Article 2. Definition of Types of Language Grid Users.
Users of the Language Grid shall be classified as the following three types defined below, depending upon the roles to be performed. The User may perform multiple types of roles. The User shall abide by the provisions of this Agreement applicable to the types of roles that the User performs in its participation in or use of the Language Grid.
- "Language Resource Provider" shall mean a user of the Language Grid who registers with the Language Grid through the procedures set forth in Article 3 in order to provide language resources to the Language Grid.
- "Computation Resource Provider" shall mean a user of the Language Grid who registers with the Language Grid through the procedures set forth in Article 3 in order to provide core nodes or service nodes to the Language Grid.
- "Language Service User" shall mean a user of the Language Grid who registers with the Language Grid through the procedures set forth in Article 3 in order to use language resources through the Language Grid.
Article 3. Registration Procedures.
The User shall comply with the following registration procedures in order to access the Language Grid.
- The User shall register with the Language Grid the information required by the Operator, including the name of the User's organization, contact address, e-mail address, and the name of the responsible person. Such information must be public information already disclosed on the web site of the User. The information of the User registered with the Language Grid shall be made public in the Language Grid User List on the web site of the Operator. The Operator shall not be provided with any non-public personal information of the User in connection with the Language Grid.
- The User shall obtain an ID and a password, following the procedures specified by the Operator and shall access the Language Grid using such ID and password. The User shall change its password at appropriate intervals and otherwise safeguard such ID and password to ensure the security and fair use of the Language Grid.
Article 4. Language Resource Provider.
If the User acts as a Language Resource Provider, the User shall abide by the following provisions. The User shall separately register with the Language Grid operated by the Operator the language resources to be provided by the User.
- The Operator shall provide the language resources provided by the User to the Language Service Users on the condition that such language resources may be used solely for non-profit use. The term "non-profit use" in this agreement shall mean the use by individuals, the use by public agencies or nonprofit organizations for their main businesses or for research, and the use by profit organizations for social contributions.
- The Operator may, with the User's consent, select or change computation resources to deploy the language resources provided by the User.
- In the event that the User provides language resources for profit, contracts concerning such use shall be separately entered into between the User and relevant Language Service Users. The Operator shall not be involved in any contracts pursuant to which language resources are provided for profit.
- The User shall set forth a copyright notice and license information in the profile information of the language resources provided by the User. The User may set forth access control information of the language resources on the Language Grid operated by the Operator. The Operator shall control access by the Language Service Users to the language resources on the basis of such access control information.
- The User may have access to the registered information of the Language Service Users who have accessed the language resources provided by the User through the Language Grid operated by the Operator.
- The User may have constant access to statistics on use of the language resources provided by the User through the Language Grid operated by the Operator. Such statistics shall not include message texts or any personal information regarding message recipients.
- If User wishes to obtain a usage log of the language resources provided by it, the User shall enter into a separate agreement with the Language Service Users. The Operator shall not be involved in any agreement with respect to any usage log other than statistics on use of language resources
- The User may with prior notice stop providing the language resources for various reasons, such as maintenance.
- The User shall make best efforts not to violate copyrights and other intellectual property rights of any third party in connection with the language resources provided by the User.
- The User shall not be liable to the Operator, the Computation Resource Providers or the Language Service Users for any direct or indirect damages arising out of the use of language resources provided by the User.
Article 5. Computation Resource Provider.
If the User acts as a Computation Resource Provider, the User shall abide by the following provisions. The User shall separately register with the Language Grid operated by the Operator the computation resources to be provided by the User.
- The Operator shall provide the computation resources provided by the User to the Language Service Users based on the condition that such computation resources may be used solely for non-profit use.
- The Operator may, with the User's consent, select or change the language resources to be deployed on the computation resources provided by the User.
- The User may have access to the registered information of the Language Service Users who have accessed the computation resources provided by the User through the Language Grid operated by the Operator.
- The User may have constant access to statistics on the use of language resources deployed on the computation resources provided by the User through the Language Grid operated by the Operator. Such statistics shall not include message texts or personal information regarding message recipients.
- The User shall not obtain, through the computation resources provided by it, any usage log other than statistics on the use of language resources.
- The User may, with prior notice to the Operator, shut down the computation resources provided by it for various reasons, such as maintenance or blackout.
- The User shall not be liable to the Operator, the Language Resource Providers or the Language Service Users for any direct or indirect damages arising out of the Use of the computation resources provided by the User.
Article 6. Language Service Users.
If the User acts as a Language Service User, the User shall abide by the following provisions.
- The User shall have the right to allow participants of activities or services conducted under the User's supervision (the "Participants") access to the Language Grid with an ID and a password obtained by the User.
- The User may use language resources or computation resources through the Language Grid solely for non-profit use. The User shall inform the Participants that they may use the language resources and computation resources solely for non-profit use.
- The User shall follow the copyright notice and license information set forth in the profile of language resources that the User uses. The User shall inform the Participants that the Participants must comply with such copyright and license information.
- The User understands that the Operator shall have the right to collect statistics on use by the User and to allow the Language Resource Providers and the Computation Resource Providers constant access to these statistics and the User's registered information. The User shall also inform its participants that the Language Resource Providers and the Computation Resource Providers have access to statistics on use by the Participants. Such statistics shall not include message texts or personal information regarding message recipients.
Article 7. Disclaimer of the Operator.
The Operator shall not warrant or guarantee the correctness, safety, or usefulness of any results, including translations, obtained by using language resources and computation resources provided through the Language Grid, and the Operator shall not be liable to the User for any direct or indirect damages caused by the use of the Language Grid. The Operator shall not be liable for any dispute between the User and any third party arising out of or in connection with the use of the Language Grid, and the User shall resolve such dispute at its own cost and responsibility.
Article 8. Suspension and Termination of the Language Grid.
The Operator shall have the right to suspend temporarily all or any part of the Language Grid without prior notice to the User at any time if the Operator deems it necessary to suspend language services on the Language Grid for any operational or technical reasons. In addition, the User understands and agrees that the Operator may terminate all or any part of the Language Grid by notice in writing or by e-mail or by notice on the web site of the Operator. Notice by means of the web site shall be restricted to situations where notice in writing or by e-mail is not practicable.
Article 9. Term of Agreement.
This agreement shall be effective from the date of the agreement for one year and shall be automatically renewed for successive terms of one year unless (i) prior notice of non-renewal is given in writing or by e-mail by the Operator or the User or (ii) such notice is given by the Operator on its web site. Notice by means of the web site shall be restricted to situations where notice in writing or by e-mail is not practicable.
Article 10. Conflicts of Interpretation, etc.
The Operator and the User shall resolve through mutual consultation any matters not provided for in this Agreement and any conflicts in interpretation of this agreement.
Article 11. Governing Law.
This agreement shall be governed by and construed in accordance with the law of Japan.
